DEJE is not liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, but not limited to, acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Any disputes arising out of or relating to the use of the DEJE platform will be resolved through negotiations, mediation, or arbitration, as outlined in the Dispute Resolution section of these terms and conditions.

10. Dispute Resolution
10.1. Alternative Dispute Resolution (ADR)
10.1.1. Negotiation and Mediation: DEJE encourages users to resolve disputes, complaints, or disagreements that may arise through negotiation or mediation. Users are encouraged to first attempt to resolve any disputes directly with the other party involved.
10.1.2. Mediation Services: If the parties involved are unable to resolve their dispute through negotiation, DEJE may, at its discretion, offer mediation services to help facilitate a resolution. Mediation services may be provided by a third-party mediator or through an online platform facilitated by DEJE.
10.1.3. Binding Arbitration: If negotiation and mediation efforts fail, DEJE and users agree to submit the dispute to binding arbitration. The arbitration will be conducted in accordance with the rules and procedures of a reputable arbitration organization mutually agreed upon by DEJE and the user or, in the absence of agreement, selected by DEJE. The decision of the arbitrator will be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court with jurisdiction.
10.2. Governing Law and Jurisdiction
10.2.1. Choice of Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Ethiopia, without regard to its conflict of law principles.
10.2.2. Exclusive Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms and Conditions shall be brought exclusively in the state or federal courts located within the jurisdiction of Ethiopia, and all parties consent to the personal jurisdiction of such courts.
10.3. Class Action Waiver
10.3.1. No Class Actions: Any dispute resolution proceedings, whether in arbitration or court, will be conducted only on an individual basis and not in a class or representative action or as a named or unnamed member in a class, consolidated, representative, or private attorney general action.
10.3.2. Waiver of Class Actions: Users expressly waive any right to participate in class actions, class arbitrations, or representative actions, and agree that any claim or dispute will be resolved solely on an individual basis.
10.4. Injunctive Relief
10.4.1. Injunctions: Notwithstanding the dispute resolution procedures outlined in these Terms and Conditions, DEJE may seek injunctive or other equitable relief to enforce its intellectual property rights or to prevent harm to its platform or users without the necessity of posting a bond or proving damages.
10.5. Small Claims Court
10.5.1. Small Claims Exception: Users have the option to pursue claims in small claims court rather than through arbitration if the claim remains within the jurisdictional limits of small claims court.

Resolution Supersedes Any Prior Agreements: The dispute resolution procedures outlined in this section supersede any prior agreements or understandings between users and DEJE regarding the resolution of disputes. Users acknowledge and agree that they have read and understand these dispute resolution provisions and voluntarily agree to be bound by them.

11. Termination and Suspension

11.2 DEJE-Initiated Termination or Suspension
DEJE reserves the right to suspend or terminate any user's account and access to the platform at its sole discretion, without notice, for conduct that DEJE believes violates these terms and conditions or is harmful to other users of the platform, DEJE, or third parties, or for any other reason.
11.3 Consequences of Termination
Upon termination of an account, the user’s right to use the DEJE platform and any other rights granted under these terms and conditions will cease immediately. DEJE may remove or delete the user’s content and any other data related to the account.
11.4 Outstanding Transactions
Upon termination or suspension, all outstanding transactions associated with the account will be settled in accordance with the terms applicable to such transactions. Users remain obligated to fulfill any outstanding transactions and settle any unpaid fees or charges.
11.5 Survival of Terms
Certain provisions of these terms and conditions, including but not limited to, liabilities and indemnification, will survive the termination of an account, continuing to apply to both the user and DEJE.
11.6 No Liability for Termination
DEJE will not be liable for any damages, losses, or harm resulting from the termination or suspension of a user’s account, and users agree to hold DEJE harmless from any such claims.
12. Miscellaneous
12.1 Governing Law
The terms and conditions, along with the use of the DEJE platform, shall be governed and construed in accordance with the laws of the jurisdiction in which DEJE operates, without regard to its conflict of law provisions.
12.2 Dispute Resolution

If a resolution cannot be reached, the disputes will be settled by arbitration or through the competent courts of the jurisdiction in which DEJE operates.

13. Final Provisions
13.1 Interpretation
In these terms and conditions, the headings are for convenience only and shall not affect the interpretation of the terms. The use of singular includes the plural and vice versa. Wherever the terms "include," "includes," or "including" are used, they shall be deemed to be followed by the words "without limitation."
13.2 Compliance with Laws
Users agree to comply with all applicable local, state, national, and international laws, rules, and regulations in connection with their use of the DEJE platform. DEJE reserves the right to terminate the accounts of users who violate applicable laws.
13.3 Relationship of Parties
Nothing in these terms and conditions creates any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between DEJE and the users. Users are independent contractors in relation to DEJE.
13.4 Third-Party Rights
Except as expressly provided in these terms and conditions, no provisions are intended to confer any rights, benefits, remedies, obligations, or liabilities upon any person other than the parties to these terms and conditions.
13.5 Survival
Provisions of these terms and conditions which by their nature should survive the termination of these terms and conditions shall continue in full force and effect subsequent to and notwithstanding the termination of this agreement.
13.6 No Waiver
Failure by DEJE to enforce any right or provision in these terms and conditions will not constitute a waiver of such right or provision unless acknowledged and agreed to by DEJE in writing.
